PARTNERSHIP DEED

THIS DEED OF PARTNERSHIP entered into this ______________________________ between:

Whereas the above said parties decided to commence a business under the name and style of “__________________________” as per the terms and conditions laid down as below

NOW THIS DEED OF PARTNERSHIP WITNESSETH AS FOLLOWS:

1.The name of the firm shall be “__________________________”. The name shall be changed as may be agreed upon by the parties hereto from time to time.

2.The place of business shall be at __________________________. The place of business shall be changed to any other place or places as may be decided by the partners from time to time. The partnership firm also open branch office, at any other place which may be decided by the partners from time to time.

3.The business of the Partnership shall be __________________________. The firm shall do any other business or businesses as may be decided by partners from time to time.

4.The Partnership shall be “AT WILL” and shall be effect from ______________________________.

6.The First and Second parties shall be the working partners. They shall manage the day to day affairs of the partnership business and shall carry on the business in the best interest of the partnership.

7.The partners shall open bank account in the name of the firm. Bank account opened in the name of the firm shall be operated jointly by the party of the first and second part.

8.The Profit and Losses of the business after adjusting all expenses shall be divided as follows:

9.The books of accounts and other records, documents shall be kept and maintained properly at the principal place of business. 10.If at any time during the period of partnership any partner wished to retire from the said partnership business, he/she can retire from the said partnership by giving not less than Two Months Notice in writing to the other partner of his/her intention in this behalf.

11.In the event of death or retirement of any partner, it is hereby agreed that one of the heirs of the deceased partner shall be taken as partner in the place of the deceased partner.

12.The Partners shall borrow money from bank or private parties or Financial Institutions jointly for the purpose of business which will bind on all the parties.

13.Any one of the above terms and clauses may be altered, amended or added to, by common consent of both the partners as and when deemed necessary.

14.In all other respects the partnership shall be governed by the terms of Indian Partnership Act, 1932.
